The Securities and Exchange Board of India (Sebi) on Wednesday warned the public against dealing with unregistered online bond platform providers (OBPP) as they lack supervisory oversight.

Online Bond Platform Providers (OBPP) facilitate the buying, selling, and management of fixed income investment products such as bonds for retail and institutional investors. At present, there are 28 OBPPs registered with the NSE and 33 with the BSE. The regulator said that certain entities, including fintech companies and stock brokers, are offering services in the nature of OBPPs without obtaining due registration from the stock exchanges.

“Such unregistered platforms lack regulatory or supervisory oversight and do not provide for any mechanisms for investor protection or grievance redressal,” Sebi warned.

The activities undertaken by such unregistered online platforms may potentially be in violation of the Companies Act and the SEBI Act, 1992.  The markets regulator urged investors to exercise caution and avoid transacting on unregistered online bond platforms. They should verify the registration status of the OBPPs prior to transacting, and deal only with Sebi-registered entities, in order to safeguard their interests, it said.

It also cautioned market participants to ensure compliance with the applicable regulatory framework prior to offering any services in the nature of OBPP.
